1. Who these terms apply to
Exled Golf Ltd, trading as Exled Golf, supplies products and services exclusively to customers acting in the course of their business, trade, craft or profession. We do not accept orders for personal or household use. By placing an order, you confirm that you are buying for business purposes and have authority to act for your organisation.
These terms apply to our business supplies together with the relevant quotation, specification and written order confirmation. Any different terms must be expressly agreed by us in writing. Where there is a conflict, the specific terms expressly agreed for your order take precedence over these general terms.
2. Quotations and orders
Website information describes our products and services and is not an offer to supply on particular terms. Prices, availability, technical specifications and project requirements must be confirmed in our quotation or written order confirmation. A contract is formed when we accept your order in writing. Please check the details and tell us promptly about any errors.
3. Specifications and suitability
The products, quantities, performance requirements and scope of any design, installation, software, commissioning or support services will be as agreed in writing. Please tell us before ordering about the intended application, site conditions and any particular performance or compatibility requirements. We will review requirements disclosed to us as part of the agreed scope. Website illustrations and colours are indicative; the agreed specification governs the supply. LED colour may vary between manufacturing batches, so any requirement for matching must be agreed before ordering.
4. Prices, payment and taxes
Prices, deposits, payment stages and payment due dates are those set out in our quotation or order confirmation. Delivery, installation, commissioning and ongoing software or support charges are included only where stated. VAT and other applicable taxes will be charged in accordance with the law and the circumstances of the supply; a single VAT treatment does not apply to every international order. Responsibility for import duties, customs clearance and local taxes must be agreed for overseas deliveries.
5. Delivery and site access
Delivery arrangements, charges and any agreed deadlines will be set out in the quotation or order confirmation. Estimated dates are estimates unless expressly agreed as binding. Please notify us promptly if goods are missing, damaged or incorrect and retain packaging and relevant evidence so we can investigate. A delay in reporting does not automatically extinguish a valid contractual or statutory claim. The order should specify responsibility for unloading, site access, storage, risk and any installation prerequisites.
6. Business cancellations and returns
Consumer cooling-off rights do not normally apply to business purchases. This does not remove any rights a business customer has under its contract or applicable law. Any cancellation, variation or return of correctly supplied, non-faulty goods requires our written agreement. Please contact us before dispatching a return. Any agreed return conditions, transport costs or handling charges will be confirmed in writing.
Bespoke, personalised, cut-to-length or specially procured items are not returnable simply because the customer changes its mind unless we agree otherwise in writing. This does not affect rights relating to defective or incorrectly supplied goods. Please use a traceable return method and include the order reference and reason for return.
7. Quality, warranties and defects
Any product warranty and its duration, conditions and claims procedure will be specified in the quotation, order confirmation or accompanying warranty documentation. Please report suspected defects promptly, with the product details, installation information and a description of the fault. We may require reasonable inspection or testing before deciding the appropriate remedy. A manufacturer’s warranty is additional to any rights that cannot lawfully be excluded. Nothing in these terms makes all defect claims discretionary or imposes a blanket 28-day limit on them.
8. Installation, commissioning and software
Electrical installation must be carried out by appropriately competent persons in accordance with applicable regulations and the product instructions. Installation and commissioning are provided only where included in the agreed scope. Site power, network connections, mounting, access and other responsibilities must be confirmed for the project. Software licences, subscriptions, third-party services, updates and support are subject to the terms agreed for the relevant supply; purchasing hardware does not by itself grant unlimited software or ongoing support rights.
9. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Any exclusion or financial cap agreed for a particular contract is subject to applicable law, including any statutory requirement of reasonableness. There is no blanket exclusion of responsibility for our own breach of contract or negligence. Any project-specific allocation of risk or liability must be expressly agreed in writing.
10. Events outside reasonable control
If an event outside our reasonable control affects performance, we will notify you and discuss its effect on the order and reasonable steps to reduce delay. Any revised dates, alternative arrangements or cancellation will be addressed in accordance with the contract and applicable law. This clause does not exclude liability that cannot lawfully be excluded.
11. Ownership and intellectual property
Ownership of goods remains with Exled Golf Ltd until we receive full payment for them, subject to applicable law and any specific written agreement. Any transfer or licence of design, software or other intellectual property rights must be expressly agreed; supply of goods does not itself transfer ownership of those rights.
12. Electrical waste
Electrical and electronic equipment must be disposed of responsibly under applicable waste legislation. Responsibilities for business electrical waste, any producer take-back obligations and any agreed collection or recycling arrangements depend on the equipment and the supply and will be confirmed where relevant. Nothing in these terms transfers away a statutory obligation that cannot lawfully be transferred.
13. Privacy and complaints
Our Privacy Policy explains how we handle personal information about business contacts. For an order query, return or complaint, email sales@exledgolf.com or call +44 (0)1453 756 361. Please include your business name and order or quotation reference.
14. Governing law and changes
These terms and contracts governed by them are governed by the law of England and Wales, subject to any mandatory law that applies. A change to these website terms does not retrospectively change an existing contract without agreement. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
